Disclosures

1. Purpose

This page sets out the regulatory, jurisdictional and risk disclosures for MXTK Data Exchange. The exchange licenses de-identified data; it does not offer securities, investment products, loans, deposits or tax advice. The definitive listing and DUA control each Transaction.

2. Operator and jurisdiction

The exchange is operated by Mertin Industries Inc., a Panama company with its registered office at SL-55 Building, 31st Floor, Samuel Lewis Ave. & 55 East St., Obarrio, Panama City, Republic of Panama. The Terms are governed by Panama law and disputes are resolved in Panama City under CeCAP arbitration, as set out in the Terms.

The exchange is not directed at persons in comprehensively sanctioned jurisdictions or at persons subject to applicable sanctions. You are responsible for compliance with the laws of every jurisdiction that applies to you.

3. No securities offering or investment advice

Nothing on this site is an offer to sell or a solicitation to buy a security, token, derivative, commodity interest or investment product. No content is investment, legal, tax, accounting or medical advice, and no fiduciary, advisory, broker-dealer, banking or custodial relationship is created. You must obtain your own advice before a Transaction.

4. Data is licensed, not sold

A listing grants a licence on the terms stated in the listing and DUA. It does not transfer ownership of the Data or of the seller's intellectual property. The seller is responsible for the source, rights, consents, de-identification and accuracy of the Data. The exchange does not independently verify title to every dataset.

5. De-identification and quality limits

Screening is a fail-safe, not a guarantee that a dataset is de-identified or that re-identification is impossible. Quality reports and manifests are measurements and commitments, not warranties of fitness, accuracy or non-infringement. A buyer must verify delivery and assess fitness for its own use.

6. AI agents

An AI agent can discover, compare, quote and prepare a checkout. It cannot accept a DUA, create a binding deal, settle or download a delivery. Agent output may be incomplete or wrong; a human must review the listing, DUA and price before approval. Agent tokens are scoped and revocable but remain credentials and must be protected.

7. Sanctions and prohibited jurisdictions

The Services may not be used by persons in or ordinarily resident in comprehensively sanctioned jurisdictions, including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, Luhansk, Kherson and Zaporizhzhia regions of Ukraine, or by persons on applicable OFAC, UN, EU, UK or Panama sanctions lists. We may restrict access and unwind a Transaction if sanctions or legal risk is identified.
